1. Our Services
StageHUD is a browser-based companion display application designed for use with compatible Kemper hardware and supported Web MIDI environments. StageHUD is sold as a one-time software license and does not require recurring subscription payments. Continued operation may require periodic online license validation as described in these Terms.
The Services are provided for users located in jurisdictions where such use is lawful. If you access the Services from outside the United States, you do so on your own initiative and are solely responsible for compliance with applicable local laws.
The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, GLBA, or similar frameworks. You may not use the Services in any context that would require compliance with such rules unless you have independently confirmed suitability.
The Services are intended only for users who are at least 18 years old. By using the Services, you represent that you meet this requirement.
2. Software License & Device Activation
License Grant: Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own personal or internal business use.
Licensed, Not Sold: StageHUD is licensed to you, not sold. Your purchase gives you only the limited rights expressly described in these Terms.
Device Transfers and Deauthorization: We may require device deauthorization, re-verification, or other license management steps before allowing a license to be moved from one device to another. After initial online activation, StageHUD supports up to 90 days of offline operation before requiring an online check-in.
No Sharing or Resale: You may not resell, rent, lease, sublicense, distribute, share, or otherwise transfer your license or access to the Services without our prior written consent.
No Circumvention: You may not bypass, disable, interfere with, tamper with, or attempt to defeat any license, activation, device-limit, authentication, or access-control mechanism used by the Services.
Violations: We may suspend, revoke, or terminate your license or access if we reasonably believe you have violated this section.
3. Intellectual Property Rights
We own or license all intellectual property rights in and to the Services, including all software, source code, object code, functionality, databases, designs, text, graphics, interfaces, documentation, and trademarks, as well as the selection and arrangement of such materials (collectively, the "Content").
All rights, title, and interest in and to the Content, and all StageHUD marks, logos, names, and branding, are owned by StageHUD LLC. All rights not expressly granted are reserved.
Except as expressly permitted under these Terms, you may not copy, reproduce, republish, upload, post, display, distribute, sell, license, reverse engineer, decompile, derive source code from, or otherwise exploit any portion of the Services, Content, or Marks without our prior written consent.
Non-Affiliation Disclaimer: StageHUD is independent software created by StageHUD LLC. StageHUD is not affiliated with, endorsed by, or sponsored by Kemper GmbH. Kemper and Profiler are registered trademarks of Kemper GmbH.
4. User Representations
By using the Services, you represent and warrant that:
- You have legal capacity to enter into these Terms;
- You will comply with these Terms and all applicable laws;
- Any information you provide to us is accurate and current;
- You will not use the Services for any illegal, harmful, fraudulent, or unauthorized purpose;
- You will not use the Services through automated or non-human means except as expressly permitted by us; and
- Your use of the Services will not infringe any third-party rights.
5. Purchases & Payment Terms
All purchases are processed securely through our Merchant of Record, Lemon Squeezy. We may accept payment by major credit cards, PayPal, and other payment methods made available through Lemon Squeezy.
You agree to provide current, complete, and accurate purchase and billing information for all purchases made through the Services.
All prices are listed in U.S. dollars unless otherwise stated. We may change pricing at any time before purchase. Sales tax or VAT may be applied where required by law.
Digital Product Sales & Refunds: StageHUD is a digital software product. Founders Launch purchases include a 14-day money-back guarantee subject to our Refund Policy. Please contact support@stagehud.com within 14 days of purchase during the Founders Launch to request a refund.
We reserve the right to refuse, limit, or cancel any order in our sole discretion, including where we suspect fraud, abuse, unauthorized resale, or violation of these Terms.
6. Prohibited Activities
You agree not to:
- Use the Services for any unlawful purpose;
- Interfere with or disrupt the Services or servers connected to the Services;
- Attempt to gain unauthorized access to any portion of the Services;
- Copy, adapt, scrape, decompile, reverse engineer, or create derivative works from the Services except to the extent expressly allowed by law;
- Bypass or interfere with security, activation, or device-limit mechanisms;
- Use the Services to compete with us or build a substantially similar product;
- Transmit malware, harmful code, or other disruptive material;
- Misrepresent your identity or affiliation;
- Use the Services in a way that could damage Kemper hardware, connected devices, browsers, operating systems, cables, or third-party software environments;
- Use unsupported, modified, or unauthorized builds of the Services to access our systems; or
- Encourage or assist any other person to do any of the foregoing.
7. Feedback & Submissions
If you send us suggestions, ideas, bug reports, comments, feedback, or other materials relating to the Services ("Submissions"), you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable right to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit those Submissions for any lawful purpose without compensation to you.
You represent that you have the right to provide any Submission you send us and that doing so does not violate any law or third-party right.
8. Browser-Based Application & PWA Use
StageHUD is provided primarily as a browser-based software application. On supported devices and platforms, StageHUD may also be installed or accessed as a progressive web app ("PWA").
References in these Terms to the "App" include the browser-based version of StageHUD and any installed PWA experience. Such references do not mean or imply that StageHUD is a native mobile application, wrapped application, or app-store-distributed software product unless we expressly state otherwise.
You acknowledge and agree that StageHUD depends on browser capabilities and platform support, including Web MIDI support, browser security rules, USB handling, sleep/wake behavior, backgrounding behavior, PWA installation behavior, and device-specific operating system restrictions.
Functionality, stability, and feature availability may vary by browser, device, operating system, USB adapter, cable, connected hardware, and connection environment.
9. Third-Party Products, Links & Affiliate Disclosure
The Services and Resources pages may include links to third-party websites, product listings, equipment recommendations, accessories, mounts, tablets, cables, and hardware items.
Affiliate Disclosure: StageHUD LLC participates in affiliate programs, including the Amazon Services LLC Associates Program, an affiliate advertising program designed to provide a means for sites to earn advertising fees by advertising and linking to Amazon.com. As an Amazon Associate, StageHUD LLC earns from qualifying purchases made through affiliate links on our site or Resources page. Affiliate links do not increase the purchase price to you.
Third-Party Product Disclaimer: We personally test or recommend equipment for live use, but compatibility, performance, and reliability may vary depending on individual devices, firmware versions, cabling, configurations, and operating conditions. StageHUD LLC does not manufacture, warrant, or guarantee any third-party products, hardware, or accessories. All product warranties, returns, exchanges, and technical support are provided solely by the applicable seller, manufacturer, or third-party retailer.
10. Services Management
We reserve the right, but not the obligation, to monitor use of the Services for compliance with these Terms, investigate suspected violations, restrict or suspend access, remove features, and manage the Services to protect our systems, rights, users, and business.
11. Privacy Policy
Our Privacy Policy is incorporated into these Terms by reference. By using the Services, you agree to the collection, use, storage, and disclosure of information as described in our Privacy Policy.
12. Term & Termination
These Terms remain in effect while you use the Services. We may suspend or terminate your access to the Services, revoke your license, or restrict access at any time if we reasonably believe you violated these Terms, applicable law, or the rights of others.
Upon termination, your right to use the Services will immediately cease.
13. Modifications & Interruptions
We may modify, suspend, discontinue, patch, update, or remove any part of the Services at any time, with or without notice.
We do not guarantee that the Services will always be available, uninterrupted, error-free, or compatible with future devices, browsers, operating systems, hardware revisions, firmware updates, cables, or accessories.
14. Live Performance, Compatibility & User Responsibility
StageHUD depends on external factors outside our direct control, including Web MIDI behavior, operating system power management, USB cable quality, OTG adapters, and Kemper firmware states.
User Responsibility: You are solely responsible for:
- Testing your complete setup before rehearsal, recording, or live performance;
- Maintaining backup procedures and fallback control methods;
- Evaluating whether the Services are suitable for your particular stage hardware; and
- Ensuring you can safely continue operation if the Services become unavailable or delayed.
No Performance Guarantee: We are not liable for show interruptions, missed cues, lost performances, audio disruptions, equipment resets, hardware lockups, or operating system behavior during live or studio use.
15. Governing Law
These Terms and your use of the Services are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles.
16. Dispute Resolution & Arbitration
Informal Negotiations: Before initiating legal action, both parties agree to attempt to resolve any dispute informally for at least thirty (30) days following written notice.
Binding Arbitration: Except where prohibited by law, disputes arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA).
Location & Jurisdiction: If court proceedings occur, any dispute shall be brought in the state or federal courts located in the Commonwealth of Kentucky.
Class Action Waiver: Disputes must be brought only on an individual basis and not as a plaintiff or class member in any class or representative proceeding.
17. Corrections
The Services may contain typographical errors or inaccuracies. We reserve the right to correct or update information at any time without prior notice.
18. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH ANY PARTICULAR DEVICE, CABLE, BROWSER, OPERATING SYSTEM, FIRMWARE VERSION, OR LIVE STAGE ENVIRONMENT.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL STAGEHUD LLC OR ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, SHOW INTERRUPTION, LOST REVENUE, OR DATA LOSS.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR YOUR STAGEHUD LICENSE.
20. Indemnification
You agree to defend, indemnify, and hold harmless StageHUD LLC and its owners, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or misuse in a live stage environment.
21. User Data & Local Backups
The Services process local settings, cached activation data, and user preferences. You are solely responsible for maintaining backups of your rig names, song layouts, and hardware settings. We are not liable for any loss or corruption of locally stored data.
22. Electronic Communications & Signatures
You consent to receive communications from us electronically (via email and website notices). You agree that electronic signatures, agreements, and notices satisfy any legal requirement that such communications be in writing.
23. California Users & Residents
If a complaint is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834 or by telephone at (800) 952-5210.
24. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and StageHUD LLC. If any provision is held invalid, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of that right.
